COLLAB COLLECTIVE LLC UNIFIED TERMS OF USE

These Terms of Use supersede all prior versions and constitute the current, complete, and exclusive statement of the terms governing access to and use of the Collab Collective website, research portal, Licensed Content, and related services.

By accessing the Site, Research Portal, or Licensed Content, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue access immediately.

  1. DEFINITIONS

For purposes of these Terms:

“Collab Collective,” “we,” “our,” or “us” means Collab Collective LLC.
“Client” means any organization that has purchased a subscription, license, or services from Collab Collective LLC.
“Permitted Users” refers to employees or authorized individuals within the Client organization who are permitted to access Licensed Content under an active subscription or Governing Agreement.
“Licensed Content” includes all research, reports, analysis, publications, insights, data models, graphics, commentary, and materials made available on the Research Portal or delivered by Collab Collective LLC.
“Research Portal” refers to any restricted-access platform, site area, or digital system through which Licensed Content is delivered.
“Governing Agreement” refers to any Master Services Agreement (MSA), Statement of Work (SOW), subscription agreement, or other written contract governing the Client’s purchase or license.

Where any conflict exists between these Terms and a Governing Agreement, the Governing Agreement shall control.

  1. ACCEPTANCE OF TERMS

Accessing the Site, Research Portal, or Licensed Content constitutes acceptance of these Terms. If you access on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

  1. INTELLECTUAL PROPERTY RIGHTS

All content created, published, or provided by Collab Collective LLC—including, without limitation, all Licensed Content, research materials, data, reports, graphics, audio, video, and text—is the exclusive property of Collab Collective LLC and protected by U.S. and international copyright, trade secret, and intellectual property laws.

No rights are granted except as expressly stated in these Terms or a Governing Agreement.
Unauthorized use, reproduction, redistribution, or derivative creation is strictly prohibited and may result in legal action, including injunctive relief and statutory damages.

  1. LICENSED ACCESS AND PERMITTED USE

Subject to an active subscription or Governing Agreement, Collab Collective grants the Client a limited, non-exclusive, non-transferable, revocable license to permit its Permitted Users to:

  • Access the Research Portal
  • View Licensed Content
  • Download Licensed Content for internal business use only

All use is subject to strict adherence to the following restrictions.

4.1 Internal Use Only

Licensed Content may be used solely for internal purposes within the Client organization and may not be shared externally except as expressly permitted under Section 4.4.

4.2 Prohibited Uses

Clients and Permitted Users may not:

  • Share Licensed Content outside the Client organization
  • Upload Licensed Content to locations accessible to non-employees
  • Distribute Licensed Content to partners, vendors, consultants, or media
  • Publicly post, publish, or quote Licensed Content
  • Incorporate Licensed Content into marketing, sales, PR, or promotional materials
  • Create derivative works or modify Licensed Content
  • Use Licensed Content to produce competitive research or commercial offerings
  • Use automated systems (scrapers, bots, crawlers) to access or download content

4.3 Confidentiality

Licensed Content constitutes Confidential Information of Collab Collective LLC. The Client must protect such content with at least the same level of care used to safeguard its own confidential information.

4.4 External Use Only by Express Authorization

External sharing, publication, or reuse of Licensed Content is permitted only when expressly authorized by Collab Collective LLC through:

  1. A Master Services Agreement or Statement of Work that explicitly grants such rights; or
  2. A separate written authorization issued by Collab Collective LLC.

Any external use not expressly authorized as above is strictly prohibited.
Authorization does not transfer ownership or remove attribution requirements.

  1. GENERAL WEBSITE USE

Users accessing public areas of the Site must comply with all applicable laws and refrain from any activity that disrupts or interferes with Site functionality.

  1. EXTERNAL LINKS & THIRD-PARTY CONTENT

The Site may include links to third-party websites, services, or content for informational purposes. Some links may be affiliate links from which Collab Collective LLC may earn commissions.

Collab Collective does not endorse, control, or guarantee any third-party content and is not responsible for:

  • Accuracy or reliability of third-party information
  • Availability or performance of third-party websites
  • Content, security, or privacy practices of third parties

Users access third-party content at their own risk.

  1. DISCLAIMERS; INFORMATIONAL PURPOSES ONLY (LICENSED CONTENT)

Licensed Content is provided solely for informational purposes. It does not constitute professional, legal, financial, technical, or strategic advice.

Collab Collective LLC makes no warranties, express or implied, regarding the:

  • Accuracy
  • Completeness
  • Reliability
  • Suitability
  • Fitness for any particular purpose

Clients bear full responsibility for validating conclusions and conducting independent analysis before making business decisions.

  1. GENERAL WEBSITE DISCLAIMERS (AS IS / AS AVAILABLE)

The Site and all publicly available content are provided AS IS and AS AVAILABLE, without warranties of any kind.

To the fullest extent permitted by law, Collab Collective LLC disclaims all warranties, express or implied, including but not limited to:

  • Non-infringement
  • Merchantability
  • Fitness for a particular purpose
  • Accuracy or reliability of public information
  • Availability or uninterrupted functionality
  1. LIMITATION OF LIABILITY

9.1 Website Users

Collab Collective LLC shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from use of the Site or reliance on its content.

9.2 Licensed Content / Clients

Where a Governing Agreement applies, its liability caps and carve-outs control.

If no Governing Agreement applies, Collab Collective’s total aggregate liability for any claims relating to Licensed Content or portal access shall not exceed the total fees paid by the Client for such access during the preceding twelve (12) months.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Collab Collective LLC, its officers, directors, employees, contractors, and agents from all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site, Research Portal, or Licensed Content
  • Any breach of these Terms
  • Unauthorized distribution or misuse of Licensed Content
  • Violation of intellectual property rights or privacy rights of any third party
  • Creation or use of derivative works
  • Reliance on Licensed Content in a manner contrary to these Terms

This indemnification obligation survives termination of access and use.

  1. PRIVACY AND DATA HANDLING

Use of the Site and Research Portal is governed by the Collab Collective Privacy Policy, available at: PRIVACY POLICY

By accessing the Site or Portal, you consent to the data practices described therein.

  1. MODIFICATION OF TERMS

Collab Collective LLC may update or modify these Terms at any time. The updated Terms will be posted with the “Last Updated” date shown above. Continued use of the Site or Portal constitutes acceptance of the revised Terms.

This version supersedes all prior Terms of Use in their entirety.

  1. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
All disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas.
